PEE DEE INK LLC
INDEPENDENT SALES CREATOR AGREEMENT
1. PARTIES
Agreement between:
Pee Dee Ink LLC
and
Independent Sales Creator
2. INDEPENDENT CONTRACTOR STATUS
The sales creator acknowledges that they are an independent contractor and not an employee, partner, agent, or joint venture of Pee Dee Ink LLC unless otherwise expressly stated in writing.
The creator is responsible for their own taxes, equipment, internet, transportation, business expenses, and applicable legal obligations.
3. ROLE
The creator is authorized to promote Pee Dee Ink LLC's approved products and services and generate qualifying customers through approved marketing and sales activities.
4. SALES ACTIVITIES
Approved activities may include:
- Social-media promotion
- Video content
- LIVE broadcasts
- Direct outreach
- Networking
- Referrals
- Prospecting
- Educational content
- Promotional posts
Creator must comply with applicable laws, platform rules, and Pee Dee Ink LLC marketing guidelines.
5. COMMISSION
Creator receives a 50% one-time commission on qualifying initial customer purchases personally generated and properly attributed to the Representative.
6. NO AUTOMATIC RECURRING COMMISSION
The Creator does not receive recurring monthly commissions unless Pee Dee Ink LLC creates a separate written recurring commission program.
7. CUSTOMER ATTRIBUTION
Pee Dee Ink LLC will establish an approved method for identifying and tracking sales generated by each Sales Creator.
Only sales properly attributed to the creator may qualify for commission.
8. REFUNDS & CHARGEBACKS
Commissions associated with refunded, reversed, fraudulent, disputed, or charged-back transactions may be withheld, reversed, or deducted from future commissions as permitted by applicable law.
9. MARKETING RULES
Creator may only use approved Pee Dee Ink LLC branding, logos, product information, pricing, promotional materials, and claims.
Creator may not make false, misleading, deceptive, or unauthorized claims.
10. SOCIAL MEDIA
Creator may promote Pee Dee Ink through approved social-media platforms but must follow each platform's rules and applicable advertising/disclosure requirements.
11. PROHIBITED CONDUCT
Sales Creator may not:
- Misrepresent Pee Dee Ink LLC
- Guarantee income
- Make false claims
- Spam potential customers
- Use deceptive sales tactics
- Misuse customer information
- Represent themselves as Pee Dee Ink employees
- Modify company pricing without authorization
- Make unauthorized promises to customers
12. CONFIDENTIALITY
Sales Creator must protect confidential business information, customer information, sales information, marketing materials, and other non-public Pee Dee Ink information.
13. INTELLECTUAL PROPERTY
Pee Dee Ink LLC retains ownership of its trademarks, logos, designs, marketing materials, content, systems, and other intellectual property.
Creator receive limited permission to use approved materials solely for authorized promotional purposes.
14. TERMINATION
Either party may terminate the relationship according to the terms of the agreement.
Pee Dee Ink LLC may immediately terminate a Sales Creator for misconduct, fraud, unauthorized claims, misuse of company materials, or violation of the agreement.
15. COMMISSIONS AFTER TERMINATION
The agreement should clearly define whether a Sales Creator receives commissions for qualifying transactions occurring before termination but paid afterward.
16. TAX RESPONSIBILITY
The Sales Creator is responsible for their own applicable federal, state, and local tax obligations.
17. NO INCOME GUARANTEE
Pee Dee Ink LLC does not guarantee any specific number of sales, customers, commissions, or income.
18. ENTIRE AGREEMENT
The written agreement represents the complete understanding between Pee Dee Ink LLC and the Independent Sales Creator regarding the sales relationship.
19. ACKNOWLEDGMENT
Sales Creator confirms that they have read, understand, and agree to the terms before beginning sales activities.
